Attested Copies for Delaware Corporations | Notary Services

Companies incorporated in Delaware are often asked for attested copies of unrecorded internal documents like:

• Operating Agreements
• By-Laws
• Partnership Agreements
• Meeting Minutes
• Internal Resolutions
• Business Contracts
• Loan Agreements
• Non-Disclosure Agreements (NDAs)
• Employment Agreements
• Corporate Policies
• Private Lease Agreements
• Mortgage-related documents (if not recorded)
• Property Management Agreements

Attested copies of the aforementioned internal documents can be obtained remotely via email or hard copy via FedEX.  (Attested copies can also be sent along to the Secretary of State, Division of Corporations for apostille.)

Note: Delaware notaries are prohibited from making attested copies of publicly recorded documents, including the following, that must come directly from the Secretary of State, Division of Corporations:

• Certificate of Formation
• Certificate of Incorporation
• Certificate of Amendment
• Annual Report
• Certificate of Authority
• Certificate of Dissolution
• Certificate of Cancellation
• Change of Agent

Delaware notaries are also unable to attest any of the following:
 

• Vital Records (Birth, Marriage, Death Certificates)
• Court-Issued Documents (Divorce Decrees, Judgments)
• Government-Issued IDs & Passports (Only the issuing agency can certify copies)
